Paul advises closely held businesses and tax-exempt organizations on a broad range of matters, including: entity formation and capitalization, governance, mergers and acquisitions, divestitures, joint ventures, contract negotiation, and other corporate matters. He serves as outside general counsel and collaborates with the firm’s litigation and employment attorneys to provide tailored expertise to his clients. Paul regularly represents business owners and investors in shareholder agreements and ownership disputes, counseling them through business valuations and other sensitive matters.
Paul represents banks and financial institutions by documenting financing and credit facilities, negotiating work out agreements, participating in farmer-lender mediation, and resolving troubled loans. He has advised national, regional, and community banks and financial institutions in financing arrangements. Paul has a diverse real estate practice that includes representation of clients in real estate transactions, easement issues, and development and financing negotiations.
During law school, Paul developed expertise helping businesses and nonprofits by serving as a research assistant to corporate law Professor John H. Matheson and volunteering with LegalCORPS, which offers pro bono business law assistance. Paul’s professional experience before law school in the compliance department at MoneyGram International and as an underwriter for American Family Insurance enables him to bring a practical approach to the legal issues facing his business clients.
